Legitimate directors of Radio Rumbos issue a statement
They talk about inaccurate interpretations and contrary to what is legally demonstrated
In recent days, a lawsuit between the shareholders of Radio Rumbos and its former President, Elsa Siciliano, has come to light. We want to clarify the facts to avoid misunderstandings. The sole shareholder and owner of C.A. Rumbos (Radio Rumbos) to date is the citizen Octavio Orta González, and has been since 2016. The only President and administrator of C.A. Rumbos, to date, has been the citizen Germán Febres Chataing since 2017, explains the business statement.
And it continues that, in recent years there has been a legal dispute between Mr. Orta and Mrs. Elsa Siciliano Orozco regarding the management of the company, since Mrs. Siciliano unilaterally decided not to accept the appointment of the new president of Rumbos C.A. by its shareholder.
That lawsuit ended in December of last year with the ruling of the Supreme Court that resulted in the recent decisions in favor of the administration of Mr. Orta and Mr. Febres Chataing.
We invite Mrs. Elsa María Siciliano Orozco to produce some notarized or registered document, if she does not agree with these facts, that demonstrate her ownership of the shares of Rumbos C.A. or some other right on its administration.
Chronology of the events:
1.- ON DATE DECEMBER 13, 2006, INMOBILIARIA G-2C, C.A. ACQUIRES 100 % OF THE SHARES OF C.A. RUMBOS (RADIO RUMBOS) FROM AVELINO SERRANO, ITS FOUNDER.
2.- ON MARCH 9, 2015, INMOBILIARIA G-2C, C.A. APPOINTS THE CITIZEN ELSA SICILIANO OROZCO PRESIDENT AND OCTAVIO ORTA GONZÁLEZ VICE PRESIDENT, WHO SHOULD ACT “JOINTLY”.
3.- ON DATE JULY 25, 2016, OCTAVIO ORTA GONZÁLEZ ACQUIRES 100 % OF THE SHARES OF INMOBILIARIA G-2C, C.A. AND BECOMES THE SOLE SHAREHOLDER OF RADIO RUMBOS.
4.- ON DATE MARCH 1, 2017, AND UP TO DATE WAS APPOINTED AS PRESIDENT OF C.A. RUMBOS (RADIO RUMBOS) GERMÁN FEBRES CHATAING, AND SINCE THAT DATE ELSA SICILIANO OROZCO HAS NO POSITION IN THE COMPANY.
5.- ON DATE DECEMBER 8, 2017, IN THE THIRTEENTH COURT OF THE ORDINARY MUNICIPALITY AND EXECUTOR OF MEASURES OF THE JUDICIAL CIRCUNSCRIPTION OF THE METROPOLITAN AREA OF CARACAS, BEGINS A TRIAL OF RESOLUTION OF CONTRACTS OF COMODAT (EVICTION) FROM RUMBOS (RADIO RUMBOS HEADQUARTERS.
6.- ON DATE NOVEMBER 20, 2018, LAWYER FRANCISCO JOSÉ VARGAS PÉREZ, INTRODUCES BEFORE THE FOURTH SUPERIOR COURT ON CIVIL, COMMERCIAL, TRANSIT AND BANKING MATTERS OF THE CARACAS METROPOLITAN AREA, A CONSTITUTIONAL PROTECTION AGAINST THAT EVICTION.
7.- ONCE THE LEGAL DOCUMENTS WERE SUBMITTED TO MR. FRANCISCO JOSÉ VARGAS PÉREZ, BY OUR LEGAL CONSULTANCY, HE “DESISTS” OF SAID CONSTITUTIONAL PROTECTION, WHOSE WITHDRAWAL IS “APPROVED” BY THE CONSTITUTIONAL CHAMBER OF THE COURT.
8.- THE FOURTH SUPERIOR COURT, FOLLOWING THE MANDATE OF THE COURT, ORDERS THE PREVENTIVE MEASURES ISSUED WITH THE CONSTITUTIONAL PROTECTION TO BE SUSPENDED AND THAT IT PROSECUTES THE AGREEMENT IN THE EVICTION TRIAL.
